THE449CLUB BOARD JOB DESCRIPTIONS
Board Chair:
· Is a member of the Board
· Serves as Chief Volunteer of the organization
· Is a partner with the Chief Executive in achieving the organizations mission
· Provides leadership to the Board of Directors, who sets policy and to whom the Chief Executive is accountable
· Chairs meetings of the Board after developing the agenda with the Chief Executive
· Encourages Board’s role in strategic planning
· Appoints the chairpersons of committees, in consultation with other Board members
· Serves as ex officio as a member of committees and attends their meetings when invited
· Discusses issues confronting the organization with the Chief Executive
· Helps guide and mediate Board actions with respect to organizational priorities and Governance concerns
· Reviews with the Chief Executive any issues of concern to the Board
Vice Chair:
Monitors financial planning and financial reports
· Play a leading role in fundraising activities
· Formally evaluate the performance of the Chief Executive and informally evaluates the effectiveness performance of the Board members
· Evaluate the annually the performance of the organization in achieving its mission
Board Treasure
· Attend all board meetings
· Maintain knowledge of the organization and personal commitment to its goals and objectives
· Understands financial accounting for nonprofit organizations
· Serves as Chair of the finance committee
· Manage with the finance committee the Boards review of and action related to the boards financial responsibilities
· Work with the Chief Executive and Chief Financial Officer to ensure that appropriate financial reports are made available to the Board on a timely basis
· Present the annual budget to the board for approval
· Ensures development and board review of financial; policies and procedures
· Review the annual audit and answer board members questions about the audit
Board Secretary
· Attend all board meetings
· Ensure the safety and accuracy of all board records and ensures effective management of organization’s records
· Review Board minutes
· Assume responsibilities of the chair in the absence of the board chair, vice chair
· Ensures minutes are distributed to members shortly after each meetings
· Is sufficiently familiar with legal documents ((articles, by-laws, IRS letters, etc.) to note applicability during meetings
· Provide notice of meetings of the board and/or of a committee when such notice is required
